Castrol Names Former Shell Boss Chairman

Former Shell chief executive Ben van Beurden has been appointed chairman of Castrol following the completion of Stonepeak's acquisition of a controlling stake in the global lubricants business. The transaction, announced on 2 November, transfers 65% ownership from BP to the American infrastructure investment firm, while BP retains a 35% minority interest.
The deal establishes a new corporate structure for Castrol, which supplies lubricants and thermal management products to customers across more than 150 countries. BP expects approximately $6 billion in after-tax proceeds, which it intends to use to strengthen its balance sheet and reduce debt. Stonepeak will support Castrol's existing operations while exploring opportunities to expand into additional markets and related product categories.
The newly constituted board will include four independent directors, including van Beurden, alongside three representatives affiliated with Stonepeak, two from BP and one from Canada Pension Plan Investment Board. Castrol chief executive Michelle Jou will continue leading the business. Van Beurden, who previously led Shell and currently chairs Swiss chemicals company Clariant, brings extensive experience in managing international energy and industrial operations.
The ownership transition reflects BP's efforts to simplify its portfolio while retaining exposure to profitable businesses beyond its core oil and gas operations. For Castrol, operating under majority private investment ownership could provide greater flexibility in capital allocation and expansion. The effectiveness of the new governance structure will be measured by its ability to balance Stonepeak's growth ambitions with BP's continuing interests and Castrol's established market position.
